NO CLASS OR REPRESENTATIVE ACTIONS OR ARBITRATIONS ARE ALLOWED UNDER THIS ARBITRATION PROVISION. IN ADDITION, ARBITRATION PRECLUDES YOU AND FILIO TECHNOLOGIES LLC FROM SUING IN COURT OR HAVING A JURY TRIAL.
No Representative Actions. You and Filio Technologies LLC agree that any dispute or claim between us, including those arising out of or related to these Terms of Use, our Services, or any aspect of the relationship between you and Filio Technologies LLC, is personal to you and Filio Technologies LLC and that any dispute will be resolved solely through individual action, and will not be brought as a class arbitration, class action, or any other type of representative proceeding.
Arbitration of Disputes. Most concerns can be resolved quickly and to the customer's satisfaction by contacting our Customer Support at (917) 985-8677 or support@filio.online. In the unlikely event that our Customer Care Center is unable to resolve your complaint (or if we have not been able to resolve a dispute after attempting to do so informally), this Section 5 applies. Except for (i) individual actions in small claims court located in Albany County, New York, or the county of your primary residence or (ii) actions in court seeking injunctive or other equitable relief for the alleged infringement or misappropriation of intellectual property, you and Filio Technologies LLC agree to waive your rights to a jury trial and to have any dispute or claim arising out of or relating to any aspect of the relationship between us (collectively, "Disputes") resolved in through binding individual arbitration as set forth in this Section 5. This Arbitration Agreement applies to all Disputes based in contract, tort, statute, fraud, misrepresentation, or any other legal theory.
Arbitration Procedures. For any Dispute that you have against Filio Technologies LLC, or that Filio Technologies LLC has against you, you and Filio Technologies LLC agree to attempt to resolve the Dispute informally. If you assert a claim against Filio Technologies LLC, you will first send a written notice of your Dispute ("Claimant Notice") to Filio Technologies LLC by U.S. certified mail addressed to: Notice of Dispute, Filio Technologies LLC, 418 Broadway, STE N, Albany, NY 12207; a courtesy copy should also be sent by email to support@filio.online. The Claimant Notice must (a) include your name, residence address, email address, and telephone number; (b) describe the nature and basis of the Dispute; and (c) set forth the specific relief sought.
If you and Filio Technologies LLC cannot reach an agreement to resolve the Dispute within thirty (30) days after notice is provided, then either party may submit the Dispute to binding confidential arbitration administered by the American Arbitration Association ("AAA"). All Disputes submitted to AAA will be resolved through binding arbitration before one arbitrator. Unless the parties agree in writing to a different location, arbitration proceedings will be held in Albany County, New York; if you are a Consumer, however, you may elect to hold the arbitration in your county of residence. For purposes of this Section 5, a "Consumer" means a person using the Services for personal, family or household purposes.
If you are a Consumer, you and Filio Technologies LLC agree to use the AAA Consumer Arbitration Rules. If you are not a Consumer, you and Filio Technologies LLC agree to use the AAA Commercial Arbitration Rules, including the Expedited Procedures for all Disputes with a value of $75,000 or less.
Individualized Arbitration Proceedings and Remedies. You and Filio Technologies LLC agree that these Terms affect interstate commerce and that the enforceability of this Section 5 will be substantively and procedurally governed by the Federal Arbitration Act, 9 U.S.C. Section 1, et seq. (the "FAA"), to the maximum extent permitted by applicable law. The arbitrator may conduct only an individual arbitration and may not consolidate more than one individual's claims, preside over any type of class or representative proceeding, or preside over any proceeding involving more than one claimant.
Confidentiality. The arbitration will allow for the discovery or exchange of non-privileged information relevant to the Dispute. You and Filio Technologies LLC agree to cooperate to seek from the arbitrator protection for any confidential, proprietary, trade secret, or otherwise sensitive information.
Payment of Arbitration Fees. The costs of arbitration shall be governed by the AAA's fee schedules, available at adr.org/Rules. If you are a Consumer and you initiate arbitration of a Dispute, you agree to pay the applicable AAA Consumer Case Filing Fee, and Filio Technologies LLC will pay the remaining AAA fees and costs.
Opt Out of Arbitration. You have the right to opt out of binding arbitration within thirty (30) days of the date you first accepted the terms of this Section 5 by sending a written Notice of Opt Out to: Filio Technologies LLC, 418 Broadway, STE N, Albany, NY 12207; a courtesy copy should also be sent by email to support@filio.online.
Additional Terms. If any portion of this Section 5 is found to be unenforceable or unlawful for any reason, the unenforceable or unlawful provision shall be severed from these Terms. You and Filio Technologies LLC agree that the state or federal courts of the State of New York and the United States sitting in Albany County, New York have exclusive jurisdiction over the enforcement of an arbitration award made pursuant to this Arbitration Agreement.
Some Filio Technologies LLC Services may be subject to additional posted conditions. Your use of those Services is subject to those conditions, which are incorporated into these Terms of Use by reference. In the event of an inconsistency between these Terms of Use and any additional posted conditions, the provisions of the additional conditions shall control.
At various locations on the Site or through Applications, Filio Technologies LLC may allow you to post, upload, or submit ratings, reviews, comments, testimonials, ideas, questions, and other content ("User Content"). All User Content submitted to us is subject to our Privacy Policy.
Rights and Responsibilities of Filio Technologies LLC. Filio Technologies LLC is not the publisher or author of the User Content submitted by its customers and users and expressly disclaims any and all liability in connection with User Content. Filio Technologies LLC has the right (but not the obligation), in our sole discretion, to review, reject, delete, disable, or remove any User Content.
Rights and Responsibilities of Filio Technologies LLC Users. You are legally and ethically responsible for any User Content that you submit, including but not limited to content that is known by you to be false, inaccurate or misleading; that infringes anyone's copyright, patent, trademark, trade secret, or other proprietary rights; that violates any law, statute, ordinance, or regulation; that is defamatory, libelous, threatening, or harassing; that includes advertisements, spam, or unsolicited content; or that contains any computer virus, worms, or other potentially damaging programs.
You retain copyright on all User Content you submit. You grant Filio Technologies LLC a perpetual, irrevocable, royalty-free, transferable right and license to use, copy, modify, delete in its entirety, adapt, publish, translate, create derivative works from, and/or distribute such User Content (in whole or in part) for the purpose of operating, improving, and marketing our Services.
THE SITE, APPLICATIONS, AND ALL MATERIALS, DOCUMENTS OR FORMS PROVIDED ON OR THROUGH YOUR USE OF THE SITE OR APPLICATIONS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, FILIO TECHNOLOGIES LLC EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
FILIO TECHNOLOGIES LLC MAKES NO WARRANTY THAT: (A) THE SITE, APPLICATIONS, OR SERVICES WILL MEET YOUR REQUIREMENTS; (B) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE INFORMATION OBTAINED FROM THE SERVICES WILL BE ACCURATE OR RELIABLE; OR (D) ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED.
OBTAINING ANY MATERIALS THROUGH THE USE OF THE SITE OR APPLICATIONS IS DONE AT YOUR OWN DISCRETION AND RISK. FILIO TECHNOLOGIES LLC SHALL NOT BE RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER OR DATA OR FOR ANY BUGS, VIRUSES, TROJAN HORSES, OR OTHER DESTRUCTIVE CODE RESULTING FROM USE OF THE SITE OR APPLICATIONS.
EXCEPT AS PROHIBITED BY LAW, YOU WILL HOLD FILIO TECHNOLOGIES LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS HARMLESS FOR ANY INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGE, HOWEVER IT ARISES (INCLUDING ATTORNEYS' FEES AND ALL RELATED COSTS AND EXPENSES OF LITIGATION AND ARBITRATION, OR AT TRIAL OR ON APPEAL, IF ANY, WHETHER OR NOT LITIGATION OR ARBITRATION IS INSTITUTED), WHETHER IN AN ACTION OF CONTRACT, NEGLIGENCE, OR OTHER TORTIOUS ACTION, OR ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, INCLUDING WITHOUT LIMITATION ANY CLAIM FOR PERSONAL INJURY OR PROPERTY DAMAGE, ARISING FROM THIS AGREEMENT AND ANY VIOLATION BY YOU OF ANY FEDERAL, STATE, OR LOCAL LAWS, STATUTES, RULES, OR REGULATIONS, EVEN IF FILIO TECHNOLOGIES LLC HAS BEEN PREVIOUSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. EXCEPT AS PROHIBITED BY LAW, IF THERE IS LIABILITY FOUND ON THE PART OF FILIO TECHNOLOGIES LLC, IT WILL BE LIMITED TO THE AMOUNT PAID FOR THE PRODUCTS AND/OR SERVICES, AND UNDER NO CIRCUMSTANCES WILL THERE BE CONSEQUENTIAL OR PUNITIVE DAMAGES. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE PRIOR LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

24. Prohibition on Artificial Intelligence, Machine Learning, and Large Language Model (LLM) Training.
You are strictly and explicitly prohibited from using, copying, downloading, scraping, framing, caching, reproducing, or extracting any content, text, data, proprietary information, document templates, forms, workflows, user interface designs, or software applications available on or through this Site, the Applications, or the Services for the purpose of developing, training, testing, optimizing, or fine-tuning machine learning algorithms, artificial intelligence engines, neural networks, or large language models ("LLMs"). This prohibition applies to any automated extraction tools, web scrapers, bots, or manual operations executed by you or any third party acting on your behalf. Any unauthorized ingestion of Filio Technologies LLC intellectual property into an artificial intelligence environment constitutes a material breach of these Terms of Use and a direct violation of our proprietary rights, for which Filio Technologies LLC reserves the right to seek immediate injunctive relief and maximum monetary damages.
