Supplemental Terms of Service for Subscriptions and Third-Party Services
Welcome to the supplemental terms of service for Filio Technologies LLC ("Filio Technologies") subscription products and subscription packages (collectively, the "Subscriptions") and certain benefits or services provided by third parties and offered through Filio Technologies LLC (collectively, the "Third-Party Services"). These terms shall be referred to as "Supplemental Terms of Service for Subscriptions and Third-Party Services" or "Subscription Terms."
In addition to the Filio Technologies LLC Terms of Use (available at filio.online/legal) Terms of Service (available at filio.online/legal) and Privacy Policy (available at filio.online/legal) these Subscription Terms constitute a legal agreement between you and Filio Technologies LLC, detailing your use of Subscriptions and Third-Party Services.
Filio Technologies LLC Subscription Plans. Filio Technologies LLC offers the following subscription plans:
Essentials Plan: Includes registered agent service, biennial statement filing, annual compliance monitoring, and document storage.
Complete Plan: Includes all Essentials features plus annual corporate minutes preparation, good standing certificate procurement, and priority support.
Business Launch Plan: Includes LLC or corporation formation, EIN application, operating agreement or bylaws preparation, plus all Complete Plan annual services.
Premium Plan: Includes all Complete Plan features plus DBA filing, NYS publication coordination, website and domain bundle, corporate record maintenance, and dedicated account manager.
Subscription plan features, pricing, and availability are subject to change at the sole discretion of Filio Technologies LLC. Current plan details are available at filio.online.
Automatic Renewal. Unless you cancel your Subscription before the end of your then-current annual term, your Subscription will automatically renew for successive annual periods at the then-current rate. Filio Technologies LLC will charge the payment method on file for each renewal period.
Renewal Notice. Filio Technologies LLC may send a reminder email to the email address associated with your account before your renewal date. This notice is provided as a courtesy only. Your failure to receive such notice does not affect the automatic renewal of your Subscription.
Price Changes. Filio Technologies LLC may change Subscription pricing upon not less than thirty (30) days' prior written notice to the email address associated with your account. If you do not agree to the new pricing, you may cancel your Subscription before the next renewal date.
ALL SUBSCRIPTION PLANS OFFERED BY FILIO TECHNOLOGIES LLC ARE STRUCTURED ON AN AUTOMATED, ROLLING RENEWAL BASIS. BY CONCLUDING A PURCHASE FOR A SUBSCRIPTION PLAN, YOU EXPLICITLY AUTHORIZE FILIO TECHNOLOGIES LLC TO CHARGE YOUR SPECIFIED PAYMENT METHOD AUTOMATICALLY AT THE CONCLUSION OF EACH SUBSCRIPTION TERM (ANNUALLY OR MONTHLY, AS APPLICABLE) AT THE THEN-CURRENT RATE FOR SUCH PLAN.
FILIO TECHNOLOGIES LLC RESERVES THE RIGHT TO MODIFY SUBSCRIPTION FEES, PLAN COSTS, OR ADMINISTRATIVE RATES AT ANY TIME TO REFLECT OPERATIONAL EXPENDITURES, INFLATIONARY ADJUSTMENTS, OR STATE INTAKE ESCALATIONS. IN THE EVENT OF A SUBSCRIPTION PRICE INCREASE, FILIO TECHNOLOGIES LLC WILL PROVIDE YOU WITH WRITTEN NOTICE THEREOF VIA EMAIL TO THE LAST KNOWN EMAIL ADDRESS ASSOCIATED WITH YOUR ACCOUNT AT LEAST THIRTY (30) DAYS PRIOR TO THE APPLICABLE RENEWAL DATE.
YOUR FAILURE TO CANCEL THE SUBSCRIPTION PRIOR TO THE EXPIRATION OF THE THEN-CURRENT TERM, AND YOUR CONTINUED UTILITY OF THE COMPLIANCE SERVICES, ARCHITECTURAL TOOLS, OR PLATFORM BEYOND THE EFFECTIVE DATE OF THE PRICE MODIFICATION, CONSTITUTES YOUR UNCONDITIONAL, BINDING ACCEPTANCE OF THE ESCALATED RATE. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE STATE REGULATORY SCHEMES (INCLUDING BUT NOT LIMITED TO THE CALIFORNIA AUTOMATIC RENEWAL LAW AND NEW YORK ARL STATUTES), YOU EXPLICITLY AGREE THAT THIS NOTICE MECHANISM SATISFIES ALL STATUTORY DISCLOSURE AND MANDATORY CONSPICUOUS-NOTICE INJUNCTIONS, AND YOU HEREBY WAIVE ANY COMPLEMENTARY COOLING-OFF, STATUTORY REFUND, OR DISAFFIRMANCE RIGHTS CONTEMPLATED THEREIN.
How to Cancel. You may cancel your Subscription at any time by contacting Filio Technologies LLC Customer Support at (917) 985-8677 or by emailing support@filio.online, or by cancelling through the "My Account" portal on filio.online.
Effect of Cancellation. Cancellation takes effect at the end of the then-current annual billing period. You will continue to have access to Subscription features until the end of the paid period. No pro-rated refunds will be issued for unused portions of a Subscription period, except as required by applicable law.
Registered Agent Impact. If your Subscription includes registered agent services, cancellation of your Subscription will also cancel your registered agent service. You must comply with the obligations set forth in the Supplemental Terms of Service for Registered Agent Services regarding appointment of a replacement registered agent.
General. Certain services included in or offered alongside your Subscription may be provided by third parties. These Third-Party Services are subject to the additional terms, conditions, and privacy policies of the respective third-party providers. Filio Technologies LLC is not responsible for the performance, quality, or availability of Third-Party Services.
Third-Party Services currently offered through Filio Technologies LLC may include, but are not limited to:
i. Website and Domain Services. Website hosting, design, and domain registration services provided by third-party web hosting and domain registration partners.
ii. NYS Publication Services. Publication of legal notices in designated newspapers as required by New York law, coordinated through newspaper publishing partners.
iii. Document Filing Services. Expedited filing services through third-party courier and filing agents who interact with government agencies on behalf of Filio Technologies LLC.
iv. Payment Processing. Payment processing services provided by third-party payment processors.
v. Registered Agent Services. Registered agent services provided through third-party registered agent service providers for the receipt of legal and governmental correspondence.
No Warranty of Third-Party Services. FILIO TECHNOLOGIES LLC MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THIRD-PARTY SERVICES. THIRD-PARTY SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." FILIO TECHNOLOGIES LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THIRD-PARTY SERVICES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Third-Party Terms. Your use of any Third-Party Service may require you to agree to additional terms imposed by the third-party provider. Filio Technologies LLC is not a party to any agreement between you and a third-party provider and is not liable for any third party's failure to perform.
Payment Methods. You must provide valid payment information (credit card, debit card, or other accepted payment method) at the time of purchase. You authorize Filio Technologies LLC to charge your payment method for all amounts due.
Failed Payments. If your payment method is declined or expires, Filio Technologies LLC may make multiple attempts to process the charge. If payment cannot be collected, Filio Technologies LLC may suspend your account, restrict access to Subscription features, and/or terminate your Subscription. You remain responsible for all amounts due.
Filing Fees. Certain services involve government filing fees that are separate from and in addition to Subscription fees. Filing fees are passed through to you at cost and may vary by jurisdiction. You authorize Filio Technologies LLC to charge your payment method for all applicable filing fees.
Disputed Charges. If you dispute a charge, please contact Filio Technologies LLC Customer Support at (917) 985-8677 or email support@filio.online immediately for investigation.
Filio Technologies LLC reserves the right to modify, suspend, or discontinue any Subscription feature or Third-Party Service at any time. If we materially decrease the benefits of your Subscription, you have the right to cancel your Subscription. If we discontinue a Third-Party Service, we will use commercially reasonable efforts to provide a comparable alternative.
EXCEPT AS PROHIBITED BY LAW, THE TOTAL LIABILITY OF FILIO TECHNOLOGIES LLC FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO YOUR SUBSCRIPTION OR ANY THIRD-PARTY SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR SUBSCRIPTION DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL FILIO TECHNOLOGIES LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SUBSCRIPTION OR THIRD-PARTY SERVICES.
These Subscription Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles. Any dispute arising out of or relating to these Subscription Terms shall be subject to the Dispute Resolution provisions set forth in the Filio Technologies LLC Terms of Service.

In the event of any conflict between these Subscription Terms and the Terms of Service, the Terms of Service shall prevail.
BY PURCHASING A SUBSCRIPTION OR USING ANY THIRD-PARTY SERVICES OFFERED THROUGH FILIO TECHNOLOGIES LLC, YOU ACKNOWLEDGE THAT YOU HAVE READ AND AGREE TO BE BOUND BY THESE SUBSCRIPTION TERMS.
